Plext Terms of Service

1. Introduction
Welcome to Plext, a shared knowledge base for AI coding agents operated by kGrid Inc. ("Plext," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of Plext's website, web application, workspaces, APIs, MCP connectors, and related services (collectively, the "Service").
By accessing or using Plext, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.
ABOUT OUR SERVICE: Plext gives teams a persistent, structured memory layer for their AI coding agents. Users create workspaces, organize notes into topic-scoped channels ("plexes"), and expose that knowledge to agents like Claude Code, Cursor, Codex, and Windsurf over the Model Context Protocol (MCP). Plext is a storage, organization, and retrieval service — you and your agents own the content you create inside it.
2. Eligibility and Account Requirements
2.1 Age Requirements
You must be at least 13 years old to use Plext, and at least 18 years old (or the age of majority in your jurisdiction) to agree to these Terms on behalf of a company, team, or other organization.
2.2 Account Creation
To access the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials and MCP tokens secure and confidential
- Notify us immediately of any unauthorized access to your account, workspace, or tokens
- Accept responsibility for all activities that occur under your account and for any agent you connect to it
2.3 Workspaces and Members
Plext is organized around workspaces. When you create a workspace you become its owner, and you may invite members and grant roles (owner, admin, member). Workspace owners and admins are responsible for managing membership, configuring plex visibility, and ensuring their members' use of the Service complies with these Terms.
2.4 Account Restrictions
You may not:
- Create an account if you have been previously banned from Plext
- Create multiple accounts to evade restrictions or usage limits
- Use another person's account or credentials without permission
- Sell, trade, or transfer your account or workspace to another person without our consent
3. The Plext Service
3.1 Service Description
Plext provides:
- Workspaces with member management, roles, and invite flows
- Plexes — topic-scoped channels that organize notes, with default, public, and private visibility levels
- Notes with configurable metadata fields defined per plex
- MCP server endpoints that let authorized AI agents read from and write to your workspace
- Search, linking, and graph visualization across notes
- Integrations with popular coding agents including Claude Code, Cursor, Codex, and Windsurf
3.2 Beta and Evolving Features
Plext is under active development. Features may be added, changed, or removed, and some functionality may be labeled beta or experimental. Beta features are provided on an as-available basis and may have reduced reliability, limited support, or different terms.
4. Your Content and AI Agents
4.1 Your Content
"Your Content" means the workspaces, plexes, notes, metadata, comments, configuration, and other data you or your workspace members (including agents acting on your behalf) create, upload, or store on Plext.
You retain all rights in Your Content. You grant Plext a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, index, and process Your Content solely as necessary to operate and improve the Service for you, including serving it back to you, your workspace members, and agents you authorize.
4.2 Agent Access
When you connect an AI agent (via MCP or another integration) to your workspace, that agent acts on your behalf within the permissions you grant it. You are responsible for:
- Choosing which agents to connect and understanding their behavior
- The content those agents write into your workspace
- Any tokens, credentials, or secrets you expose to those agents
- Revoking agent access when no longer needed
Plext does not control the behavior of third-party agents and is not responsible for their actions, outputs, or the terms under which they operate.
4.3 Prohibited Content
You will not upload, store, or generate in Plext:
- Content that infringes intellectual property, privacy, or publicity rights
- Secrets, credentials, or personal data of others that you are not authorized to store
- Regulated data (e.g., protected health information, payment card data) unless we have a separate written agreement covering it
- Malware, exploit code intended for unauthorized use, or content designed to compromise other systems
- Harassing, defamatory, or unlawful content
4.4 Improving the Service
We do not train foundation models on Your Content. We may use aggregated, de-identified operational data (such as query latency, feature usage counts, and error rates) to monitor, secure, and improve the Service.
5. Plans and Payment
5.1 Free and Paid Plans
Plext currently offers a free tier for individuals, with paid team plans available or rolling out over time. Details of available plans, features, and pricing are described on our website and may change.
5.2 Billing
If you subscribe to a paid plan, you agree to:
- Pay the applicable fees as described at the time of purchase
- Provide valid payment information through our third-party payment processor (Stripe)
- Authorize recurring charges for your subscription period until you cancel
5.3 Cancellation and Refunds
You may cancel a paid subscription at any time from your account settings. On cancellation, you keep access through the end of the current billing period. We do not provide refunds for partial periods except where required by law.
5.4 Price Changes
We may change pricing with at least 30 days' notice for existing paid subscribers. Continued use after a price change takes effect constitutes acceptance of the new price.
6. Acceptable Use
6.1 Permitted Use
You may use Plext for lawful purposes, including personal note-taking, team knowledge management, and connecting your AI agents to that knowledge, subject to your plan.
6.2 Prohibited Conduct
You may not:
- Use the Service for any illegal purpose
- Resell or sublicense the Service to third parties without our written consent
- Scrape, crawl, or use unauthorized automated systems to extract data from the Service outside of documented APIs and MCP endpoints
- Attempt to circumvent access controls, rate limits, or security measures
- Upload malicious code or attempt to compromise the Service's security or infrastructure
- Reverse engineer, decompile, or attempt to extract source code from our software, except to the extent this restriction is prohibited by law
- Use the Service to send spam or unsolicited messages
- Impersonate others or misrepresent your affiliation with any person or organization
- Use the Service in a way that damages, disables, overburdens, or impairs it
6.3 Rate Limits and Fair Use
We may apply rate limits, storage quotas, and fair-use thresholds to protect the Service. We may throttle or suspend activity that exceeds these limits.
7. Intellectual Property
7.1 Plext's Intellectual Property
All Plext branding, software, design, documentation, and platform features are owned by kGrid Inc. or our licensors. Except for the rights expressly granted in these Terms, you receive no license or other rights in Plext's intellectual property. You may not:
- Use Plext's trademarks, logos, or trade dress without written permission
- Copy, modify, or create derivative works of our software
- Remove or obscure proprietary notices
7.2 Feedback
If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction.
7.3 Copyright Infringement
Plext respects intellectual property rights. If you believe content on Plext infringes your copyright, send a DMCA notice to our designated Copyright Agent at copyright@plext.ai. Your notice must include:
- Identification of the copyrighted work
- Identification of the infringing material and its location in the Service
- Your contact information
- A statement of good-faith belief that the use is unauthorized
- A statement, under penalty of perjury, that the information is accurate and you are authorized to act
- Your physical or electronic signature
We will respond to valid notices as required by the DMCA and may terminate accounts of repeat infringers.
8. Third-Party Services
Plext integrates with third-party services including AI coding agents (Claude Code, Cursor, Codex, Windsurf, and others), authentication providers, and payment processors. We do not control and are not responsible for third-party services. Your use of them is subject to their own terms and privacy policies. When you authorize a third-party agent to access your workspace, you are responsible for understanding and accepting that agent's terms and behavior.
9. Disclaimers and Limitation of Liability
9.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
PLEXT DOES NOT WARRANT THAT:
- The Service will be uninterrupted, secure, or error-free
- Your Content will always be preserved, available, or recoverable
- The Service or any integration will meet your specific requirements
- AI agents connected to the Service will behave correctly, safely, or as expected
You are responsible for maintaining your own backups of critical content.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLEXT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, exemplary, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Loss or corruption of Your Content
- Damages arising from actions taken by AI agents you connect to your workspace
- Damages arising from unauthorized access to your account
- Damages arising from service interruptions or data unavailability
PLEXT'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) $100 USD OR (B) THE AMOUNT YOU PAID TO PLEXT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
10. Indemnification
You agree to defend, indemnify, and hold harmless Plext, kGrid Inc., and our affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your Content, including content created by agents acting on your behalf
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your violation of applicable laws
11. Termination
11.1 Termination by You
You may terminate your account at any time by deleting it from your account settings or by contacting support. On termination, your access ends and Your Content will be deleted in accordance with our Privacy Policy. No refunds are provided for unused portions of a paid billing period.
11.2 Termination by Plext
We may suspend or terminate your account if:
- You violate these Terms or our policies
- Your use creates risk or legal exposure for Plext or other users
- We are required to do so by law or legal process
- Your payment method fails and is not updated
- Your account remains inactive for an extended period
Where practical, we will give notice and an opportunity to cure. For serious or repeated violations, we may terminate immediately.
11.3 Effect of Termination
On termination, your license to use the Service ends immediately. Provisions that by their nature should survive — including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution — will remain in effect.
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
12.2 Informal Resolution
Before filing any legal action, you agree to contact us at legal@plext.ai and give us 60 days to attempt informal resolution.
12.3 Arbitration Agreement
YOU AND PLEXT AGREE THAT ANY DISPUTES WILL BE RESOLVED THROUGH BINDING, INDIVIDUAL ARBITRATION, NOT IN COURT, AND YOU WAIVE YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.
Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You may opt out of arbitration by sending written notice to kGrid Inc., 455 Market St Ste 1940, PMB 381476, San Francisco, California 94105-2448 US within 30 days of accepting these Terms.
12.4 Exceptions to Arbitration
The following may be brought in court:
- Claims related to intellectual property infringement
- Claims for injunctive or equitable relief
- Small-claims court actions within jurisdictional limits
12.5 Limitation Period
You must bring any claim within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.
12.6 Venue
For claims not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in San Francisco County, California.
13. General Terms
13.1 Changes to Terms
We may update these Terms from time to time. For material changes, we will notify you by posting a notice in the Service, emailing your registered address, or providing in-app notification. Continued use after the effective date of the changes constitutes acceptance.
13.2 Entire Agreement
These Terms, together with our Privacy Policy and any additional policies or order forms we reference, constitute the entire agreement between you and Plext regarding the Service.
13.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
13.4 No Waiver
Our failure to enforce any right or provision does not waive that right or provision.
13.5 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor as part of a merger, acquisition, or sale of assets.
13.6 Force Majeure
Plext is not liable for failures to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government action, or internet and infrastructure failures.
13.7 Interpretation
Headings are for convenience only. "Including" means "including but not limited to." "Or" is inclusive (and/or).
